These Terms of Use (hereinafter by the “Terms”) is drafted by Eshtarena LLC, an Egyptian company duly incorporated and organized under the laws of the Arab Republic of Egypt (hereinafter by “Eshtarena”, “we”, “our”, “us”, and/or the “Company”).

Whereas, Eshtarena owns and controls an e-commerce and e-marketing mobile application (hereinafter by the “Platform”) which focuses on streamlining the mega procurement process and on the group electronic purchases. The Platform serves as a group purchasing platform, where users can access a wide variety of vendors and categories, review products, examine technical product information, and make purchases using various payment methods (the “Services”).

Once you visit the Platform and continue through the sign-up process as defined below, for the purpose of the use of the Services, you are considered as a (“User”).

We refer to User(s) and/or visitor(s) to the Platform, whether natural or juristic persons, hereinafter by the second-person pronouns (i.e., you, your, yours, yourself, or yourselves).

The Terms set out the rules, and guidelines upon which Eshtarena will provide its Services to you and which you shall abide by while using the Services and/or while you are causally visiting the Platform.

Should we find any violations regarding your use of the Platform, as the case may be, we may at our sole discretion, prohibit you by all and any means necessary to the use of the Platform.

The aforementioned does not constitute all the actions that may be taken from our side, and we shall have the right further, as the case may be, to take any judicial action against you.

You hereby accept, acknowledge, comprehend, and agree to the Terms and you understand and agree that you shall be solely responsible for reviewing the Terms along-with our Privacy Policy from time to time.

Should you object to any of the provisions stated herein/thereof, any guideline, or any subsequent changes herein/thereof, your only choice is to immediately discontinue the use of the Platform and our Services.

If you are under the age of 18, or if you considered as a Child according to the Data Protection Law as defined in our Privacy Policy, or the governing law of your state, whichever is lower, you shall not use the Platform and you shall not disclose, provide us any of your personal data. Please check our Privacy Policy to know further how to request the removal of your data, and kindly note that if you are considered a child, you may only contact us via your legal guardian.

While setting up your account at the Platform, you will be required to provide certain personal details, you will also be required to verify your email in order to complete the sign-up process. You hereby declare not to insert any wrong or misleading details. We reserve the right to decline any account registration without any further explanation, and we reserve the right to take all necessary steps to verify your identity.

You agree to keep your account details secure and use a strong unique password. Eshtarena shall not be held liable for any losses suffered by you as a result of your account being used by someone else.

Once the account setup is completed (review section 2), you may have the right to subscribe in the deals, and purchase products made available through the Platform (i.e., Original Deals, Voucher Deals, and Auction Deals) (hereinafter by the “Deal(s)”).

You may subscribe to the Deal by clicking on the Deal; you will then be directed to the Deal details, which may include :

(i) the product specifications,

(ii) Deal time-frame/countdown,

(iii) Voucher expiration date (in case of Voucher Deals).

Once you click on the purchase button in the Deal page, you will then be directed to the address and payment page, in this regard, Eshtarena does not collect any payment data, however, we deal with third-party providers (i.e., courier provider and payment gateways) to process the shipping, delivery and payment.

You will be notified after the lapse of the Deal time-frame, in order to be able to receive your product and/or voucher, in this regard, you may choose to pick-up the product directly from the vendor or using courier services as stated above. In case you chose courier services, please ensure to enter your valid address for providing a seamless delivery experience.

For Voucher Deals, once the deal time-frame has lapsed, you will then find the purchased voucher in your wallet via the Platform. Please note that, in all cases, Vouchers are not subject to return or cancellation.

You have the right to replace or return the Order with a refund of its value after deducting the delivery fees, all without giving any reason, within fourteen (14) days as of the date of delivery.

As an exception to the above provision, in case any product has specifically made for you by your special request, or the product in its nature cannot be refunded as defined by the Egyptian consumer protection law number 181 for the year 2018, you shall not have the right to cancel or return the Order or receive any refund in this regard.

In case the product is delivered defective, you shall have the right to refund the total product price within thirty (30) days as of the date of delivery, directly from the supplier.

You hereby acknowledge that Eshtarena is the exclusive owner of the intellectual property rights in connection with the Platform and Services, and your use of the Platform and Services does not constitute a waiver of any of the intellectual property rights including the trademarks content, and icons included in or made available through the Platform

Nothing in these Terms may be construed as granting you any of Eshtarena’s intellectual property rights

You agree that:

(i) you have no right to use any of our trademarks without our prior written consent;

(ii) all rights not expressly granted to you these Terms are reserved and retained by us.

The Platform is protected under copyright laws. All rights not expressly granted to you herein are reserved by us.

You hereby, agree to indemnify and hold harmless Eshtarena, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Platform and/or the Services, your violation of these Terms, or your violation of any rights of any other third party whether a person or an entity.

You hereby, agree to co-operate fully with Eshtarena in the defense of any claim that is the subject of your indemnification obligation under this section. Eshtarena reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of Eshtarena

This indemnification clause shall survive the termination of these Terms and your discontinue to the use of the Platform and/or the Services.

YOU HEREBY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE LAW, YOUR ACCESS AND USE OF THE SERVICES OR THE PLATFORM ARE AT YOUR OWN RISK. OUR SERVICES ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WITHOUT ANY WARRANTY, AND ESHTARENA SHALL NOT BE RESPONSIBLE FOR THE ACCURACY, COMPLIANCE, OR LEGALITY OF ANY OF THE SERVICES PROVIDED.

WITHOUT LIMITING THE FOREGOING AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESHTARENA EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPLICIT OR IMPLIED, INCLUDING BUT NOT LIMITED TO; THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ESHTARENA MAKES NO WARRANTY OR REPRESENTATION AND DISCLAIM ALL AND ANY RESPONSIBILITY AND LIABILITY FOR

(I) THE COMPLETENESS, ACCURACY, AVAILABLITY, TIMELINESS, SECURITY, OR RELIABIILTY OF THE SERVICES;

(II) ANY HARM TO YOUR COMPUTER SYSTEMS, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM THE ACCESS OR THE USE OF THE SERVICES OR THE PLATFORM;

(III) THE DELETION OF, OR ANY FAILURE TO STORE YOUR DATA;

(IV) VIRUSES OR OTHER HARMFUL COMPONENTS DISTRIBUTED BY THE SERVICES;

(V) WHETHER THE SERVICES WILL MEET REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS

YOU UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THAT ESHTARENA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES,

RESULTING FROM

(I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;

(II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;

ANY CONTENT OBTAINED FROM THE SERVICES.

CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

You can choose to stop using the platform anytime.

To deactivate your account please go to email support.

It should be noted that you cannot Deactivate your Account if there are any pending Deals, in this case you are required to complete your Deal first and then deactivate your account.

The term of these Terms shall start upon your first use of the Platform or of any of its Services up until you discontinue to be a User of the Platform (see section 9 above).

Amendments

These Terms may be amended or modified from time to time, and such amendment shall be effective as of the date communicated with you via notification. Your continue to use of the Platform and the Services after amendment shall mean your implied acceptance of such amendment.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable in any way, the validity, legality, and enforceability of the remaining provisions of these Terms shall not be affected or impaired.

No Waiver.

Any waiver by us of any of the provisions of these Terms will not constitute a waiver of any other provision (whether similar or not), nor will any such waiver constitute a continuing waiver of that particular provision, unless expressly provided by us in writing.

Assignment.

These Terms will be binding upon and ensure to the benefit of the parties and their respective successors and permitted assigns. You agree that you shall not assign or transfer these Terms or any of your rights or obligations under these Terms, whether directly or indirectly, without first obtaining our prior written consent, such consent not to be unreasonably withheld

Further Assurances.

You shall in case necessary execute or arrange all acts, documents, and things reasonably within your power to implement and give effect to these Terms to its full extent, including, without limitation, complying with applicable law.

Survival.

All provisions that either expressly or by their nature survive, will survive after the end of term of these Terms.

These Terms and any non-contractual rights or obligations arising out of or in connection with it shall be governed by and construed in accordance with the applicable laws of the Arab Republic of Egypt.

If you have any issue with the Platform or the Services, please contact us, and we will endeavor to resolve your issue as soon as possible.

However, in case of failure to the amicable resolution of any issue or dispute, claims arising out of or in connection with these Terms, including any non-contractual rights or obligations arising out of or in connection with these Terms shall be referred to and finally resolved by the competent courts of the Arab Republic of Egypt.
